Phone Card sales. Phone card sweepstakes is in the business of selling pre-paid long distance phone time. The company selling the phone cards generates its revenue through the sale of the phone cards. In order to compete against some very large competitors in the sale of phone cards (i.e. Bell, AT&T, MCI), we have introduced a promotional program that incorporates sweepstakes games as a part of the marketing strategy. Not unlike McDonalds™ who utilizes their “Monopoly” sweepstakes game pieces to promote the sale of their Happy Meals, burgers, and fries, we help our marketing partners promote the sale of their telephone calling card by awarding free sweepstakes game entries that may entitle their customers to cash and prizes. It is out intention that our marketing partner’s products will be favored over those of its competitors. The sale of the phone cards is the primary objective, and the interactive video sweepstakes game is just a promotional tool. The phone cards can be purchased in various amounts, starting at a minimum of $1.00 for 20 minutes of long distance service. The consumer will always be charged the same rate that is competitive with other phone card issuers in the market. For each dollar spent on the phone card, the consumer receives one hundred (100) free sweepstakes entries, which can be revealed through interactive video games. Each sweepstakes entry may have prizes ranging from $0.01 to $3000.00. Our current game promotion consists of 20 million sweepstakes game entries with a combined prize value of $185,000.00. When a consumer makes a purchase or requests a free play voucher, entries are issued to the consumer’s account from the sweepstakes server. Once a player has revealed their sweepstakes entries and discovers they have accumulated prize money, they may choose to either cash it out or use it to purchase additional product. They cannot play the games with the monies that were won from reveling their sweepstake entries. The game play is only triggered through the revealing of sweepstake entries.

No purchase necessary

A consumer does not have to purchase a long distance calling card in order to participate in the sweepstakes. The consumer who chooses to not make a purchase may use our alternative means of entry in order to receive free sweepstakes entries. Anyone who wants to participate in the sweepstake game promotion without making a purchase will receive the same amount of free entries as someone who made the minimum purchase. The minimum purchase is $1, which qualifies the consumer to 100 free entries, which is also what a consumer not purchasing a product would receive in free entries. The request for the free game entries is accomplished by filling out and mailing in a free entry form along with a self-addressed, postage paid return envelope. The opportunity to be issued a winning sweepstake entry is identical regardless if the entries were received through the purchase of a product or via the no purchase necessary/alternative means of entry made available to the consume.

For every dollar purchases, the patron will be entitled to 100 promotional sweepstake entries.

Once the patron has their card in hand they will then have the ability to either sit at a game station in which play will be deducted from the first purse on their card. Once they have used up all the available play from the card they would be required to purchase additional phone time from kiosk.

The patron has two options once they have revealed their entries and have prizes. They may take their card to the sales counter in which they can request to remove the prizes from their card or they may purchase additional phone time by redeeming their prize winning through the game stations.

As the patron purchases additional phone time they will gain additional entries into the sweepstakes on their card account.

NO PURCHASE NECESSARY TO ENTER OR WIN. PRODUCT PURCHASE WILL NOT ENHANCE CHANCES TO WIN ANY PRIZE.

Everyone who wishes to enter the sweepstakes, but does not wish to purchase the product may do so by sending in a free entry form. Patron may receive sweepstake entries by sending in a request form via a self addressed stamped envelope. The request form will be a 3x5 index card hand written requesting sweepstake entries sent with a SASE to a PO BOX of our choice. The number of entries given with this request is 100 per patron per day. The 100 entry was established due to the minimum purchase of product is equal to one dollar and the 100 entries is the minimum number given to a player via a purchase.

NO PURCHASE NECESSARY, METHOD OF ENTRY: As an alternate means of entry into the Fantasy Phone Card Sweepstakes, a player must: send in a legible photocopy of your driver’s license or other government identification and a 3 inch x 5 inch card on which the player has legibly handwritten the player’s first and last name, complete mailing address (e.g. street, city, state, and zip code), telephone number, date of birth, and the location that they would like to have their sweepstakes prizes revealed. The card and photocopy of your driver’s license must be placed in a #10 envelope, and mailed to Reel Amusements Fantasy Phone Cards Division “Address TBD”. No photocopies, reproduction or facsimiles of the 3-inch x 5-inch card are allowed.
1. Reel Amusements LLC shall not be responsible for lost, illegible, incomplete, stolen, misdirected, mutilated, or postage-due mail.
2. Approved mail-in entries will receive a card containing 100 sweepstakes entries.
3. The odds of winning by mail in entry will be accorded equal opportunities to participate and win in sweepstakes held at Reel Amusements, and will depend on the number of entrants.

Promotional period begins on ______ ___, 2006 at 12 a.m. Eastern Time (ET), and ends on the earlier to occur of (i) ______ ____, 2006 at 11:59 p.m. (ET); (ii) or when all available entries are distributed (“Sweepstakes period”)

Sponsor also reserves the right to terminate this game by giving notice, deemed appropriate by sponsor, on any day, in which case the game will terminate not less than the 7th day following the day on which notice of termination was given or the date stated in the notice, whichever is longer.

Eligibility:
The sweepstakes is open only to customers who are 18 years of age or older at the time of entry. Employees, officers, and directors of sponsor and promoters, their respective related companies and agents, as well as the immediate family (defined as parents, spouse, children, siblings, and grandparents) and household members of each such employee, officer, and director are not eligible to enter. By participating, entrant agrees to abide by these official rules and the decisions of sponsor, which are final and binding in all respects.

Prize:
The exact prize for which an entrant is eligible depends on the sweepstakes through which he/she entered. No substitution, assignment, or transfer of prize is permitted, except by sponsor and promoters, who reserve the right to substitute a prize with another prize of comparable or greater value. Winner is solely responsible for any and all applicable fees and taxes associated with prize receipt and use. Sponsor will withhold and/or report taxes as required by the applicable law of sponsor and/or promoter’s jurisdiction and winner’s jurisdiction.

Publicity:
Except where prohibited, participation in the sweepstakes constitutes winner’s consent to sponsor’s use of winner’s name, likeness, voice, opinions, hometown and state for promotional purposes in any media, worldwide, without further payment or consideration.

General Conditions:
Sponsor reserves the right to cancel, suspend, and/or modify the sweepstakes if fraud, technical failures or any other factor beyond sponsor’s reasonable control impairs the integrity of the sweepstakes, as determined by sponsor in its sole discretion. Sponsor reserves the right in its sole discretion to disqualify any individual it finds to be tampering with the entry process or the operation of the sweepstakes or to be acting in violation of these official rules or disruptive manner. Any attempt by any person to deliberately damage sponsor’s or any promoter’s web site or undermine the legitimate operation of the sweepstakes may be a violation of criminal and civil laws and, should such an attempt be made, sponsor and promoters reserve the right to seek damages from any such person to the fullest extent permitted by law. Sponsor’s failure to enforce any term of these official rules shall not constitute a waiver of that provision.

Release and limitations of liability:
By participating in the sweepstakes, entrants agree to release and hold harmless sponsors, promoters, their respective officers, directors, employees, parent companies, and agents (the “Released parties”) from and against any claim or cause of action arising out of participation in the sweepstakes or receipt or use of any prize, including, but not limited to: (a) unauthorized human intervention in the sweepstakes; (b) technical errors related to computers, servers, providers, or telephone or network lines; (c) printing errors; (d) errors in the administration of the sweepstakes or the processing of entries; or (e) injury or damage to persons or property which may be caused, directly or indirectly, in whole or in part, from entrant’s participation in the sweepstakes or receipt of any prize. Entrant further agrees that in any cause of action, sponsor’s liability will be limited to the cost of entering and participating in the sweepstakes, and in no event shall sponsor be liable for attorney’s fees. Entrant waives the right to claim any damages whatsoever, including, but not limited to punitive, consequential, direct, or indirect damages. Except where prohibited, entrant agrees that any and all disputes, claims and causes of action arising out of or connected with this sweepstakes or any prize awarded shall be resolved under the laws of the State of Alabama, U.S.A., without respect to any conflict of law issues, and entrant agrees that such shall be resolved individually, without resort to any form of class action, and exclusively by the U.S. Federal and State Courts of Rutherford County, TN, U.S.A.
